Information on the planned merging of Antje Verwaltungs GmbH with Volkswagen AG pursuant to Section 62(3) sentence 2 of the German Reorganisation Act (UmwG)

Volkswagen AG intends, by way of an absorption merger, to assume the assets of Antje Verwaltungs GmbH, a 100 percent subsidiary company of Volkswagen AG with its head office in Frankfurt am Main (Commercial Register Frankfurt am Main, HRB 85054), and to assume these assets as a whole without liquidation pursuant to Section 2 no.1, Sections 60 ff., Section 68(1) sentence 1 no. 1 in conjunction with Sections 46 ff. of the German Reorganisation Act–UmwG.

A resolution passed at the Annual General Meeting of Volkswagen AG with regard to the approval of a merger contract with Antje Verwaltungs GmbH is not required because Volkswagen AG, as the acquiring company, wholly owns the share capital of Antje Verwaltungs GmbH. On this ground, a merger report, a merger audit and a merger audit report are not required (Sections 8(3) sentence 1 second half-sentence, 9(2) and (3), 12(3), 60 of the German Reorganisation Act–UmwG).

However, Volkswagen AG shareholders, whose shares comprise 5% of Volkswagen AG share capital, can demand that an Annual General Meeting be convened, in which an agreement on the intended merger is made (Section 62(2) of the German Reorganisation Act–UmwG). The statute of the Volkswagen AG contains no diverging regulations.

The draft of the merger contract between Volkswagen AG and Antje Verwaltungs GmbH was submitted to the commercial register of Volkswagen AG on 29.06.2016. The draft of the merger contract as well as the annual financial statements and status reports of Volkswagen AG’s last three financial years and the annual financial statements of the last three financial years of Antje Verwaltungs GmbH are made available by shareholders in the following links:
